# Anodos App Terms of Use

## 1. Introduction

These Terms of Use (the “Terms”) govern your access to and use of the websites, mobile applications, software, interfaces, account dashboards, support channels, and related services made available by Anodos Labs Inc. (“Anodos,” “we,” “us,” or “our”) (collectively, the “Services”).

By creating an account, connecting a wallet, requesting a card, initiating a transaction, selecting “I agree,” or otherwise accessing or using the Services, you agree to be bound by these Terms and any supplemental terms that apply to a specific feature or product. If you do not agree, you may not use the Services.

## 2. Anodos’ Role

Anodos provides a non-custodial software interface and technology layer that enables users to access certain digital asset, payment, card, virtual account, transfer, routing, and related services made available by Anodos and third-party service providers. Anodos is not a bank, card issuer, custodian, broker-dealer, investment adviser, creditor, lender, or money services business, and does not itself provide regulated banking, card issuing, custody, money transmission, lending, broker-dealer, investment advisory, or exchange services.

Banking-like services, card issuing and processing, virtual accounts, fiat payment rails, identity verification, sanctions screening, on-ramp and off-ramp services, and other regulated or partner-operated services are provided by independent third-party providers, financial institutions, issuers, processors, or other regulated entities, where available. Your use of those services may be subject to additional provider terms, eligibility criteria, compliance review, fees, limits, and jurisdictional restrictions.

## 3. Non-Custodial Nature of the Services

Unless a specific third-party provider expressly states otherwise in its own terms, the Services are designed so that Anodos does not take custody of your digital assets or fiat funds, does not hold your private keys, and does not have unilateral authority to transfer assets from your self-custodial wallet. You remain responsible for reviewing and authorizing transactions through the applicable wallet, passkey, biometric, device, or other authorization method.

Anodos may provide transaction information, routing options, account interfaces, risk controls, and access to third‑party services, but Anodos does not manage your assets for you and does not make discretionary decisions on your behalf. You are responsible for safeguarding your device, wallet, passkeys, passwords, recovery methods, and authentication credentials. Because your wallet is self‑custodial, Anodos does not have access to your private keys or recovery materials and will not be able to recover assets in your self‑custodial wallet if you lose access to your wallet or your recovery method.

Anodos does not have custody of your self‑custodial wallet assets and cannot freeze, seize, reverse, or transfer digital assets held in your self‑custodial wallet.

## 4. Eligibility and Compliance

* You must be at least 18 years old, or the age of majority in your jurisdiction, and legally capable of entering into these Terms.
* You may use the Services only where they are supported and lawful.
* You must not be subject to sanctions or otherwise prohibited from using the Services under applicable law.
* You must provide accurate, current, and complete information when required, and promptly update it if it changes.
* You must complete any identity, fraud, sanctions, residency, source-of-funds, or other compliance checks required by Anodos or its third-party providers.

## 5. Third-Party Providers and Partner Services

Certain features are provided, operated, processed, or made available by third-party providers. These may include card issuers, card processors, payment rail providers, virtual account providers, identity verification providers, sanctions screening providers, blockchain infrastructure providers, wallet infrastructure providers, on-ramp and off-ramp providers, stablecoin issuers, liquidity providers, swap and bridge routing providers, and other service providers.

Third-party providers may approve, decline, limit, reverse, delay, suspend, or terminate services independently of Anodos. Anodos is not responsible for a third-party provider’s separate compliance decisions, service availability, fees, limits, regulatory obligations, network rules, or terms, except to the extent required by law or expressly stated in a written agreement.

## 6. Fees, Plans, and Pricing

Fees, limits, and benefits may vary by plan, jurisdiction, rail, asset, transaction type, provider, card tier, network conditions, and applicable taxes. Where required, applicable fees will be disclosed before you confirm a transaction. Anodos may modify fees, plans, benefits, and limits in accordance with these Terms and applicable law.

## 7. Cards, Virtual Accounts, and Payment Services

Cards, virtual accounts, bank transfer rails, payment processing, and related financial services are provided by third-party providers and issuing institutions. Anodos provides the app interface and related technology services. You must comply with applicable card terms, issuer terms, payment rail rules, provider terms, card network rules, transaction limits, and compliance requirements. Transactions may be declined, delayed, reversed, limited, or blocked for fraud, compliance, merchant category, network, partner, jurisdictional, or technical reasons.\ <br>

## 8. Digital Assets, Stablecoins, Swaps, Bridges, and Yield

Digital assets, stablecoins, swaps, bridges, and yield-related features involve significant risk. Digital assets are not legal tender, may not be deposits, may not be insured by deposit insurance schemes, and may lose value. Stablecoins may depeg, become illiquid, be frozen by their issuers, or become unavailable. Blockchain transactions may be irreversible and publicly visible. Smart contracts, bridges, or protocols may fail or be exploited. Any yield, reward, cashback, referral revenue share, partner perk, or APY is subject to eligibility, availability, provider terms, market conditions, and change.

The Services do not constitute investment, legal, tax, accounting, or financial advice. You are responsible for your own decisions and should consult qualified advisers where appropriate.

## 9. Prohibited Use

* Illegal activity, fraud, scams, money laundering, terrorist financing, sanctions evasion, or market manipulation.
* Use involving prohibited goods or services, including illegal drugs, weapons, exploitative content, ransomware, darknet markets, counterfeit goods, or other prohibited merchant categories.
* Circumventing sanctions, compliance controls, geoblocking, transaction limits, security measures, or provider rules.
* Using another person’s account, identity, wallet, card, or credentials without authorization.
* Interfering with, reverse engineering, attacking, scraping, or abusing the Services.

## 10. App License

Subject to your compliance with these Terms, Anodos grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, access, and use the Anodos app and related software solely for your personal, lawful use. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the app or software except as permitted by applicable law.

## 11. Google Play and App Store Terms

If you obtain the app through Google Play, Apple App Store, or another distribution platform, your use of that platform is subject to the platform’s own terms and policies. These Terms govern your relationship with Anodos for the Services.

## 12. Privacy

Our Privacy Policy, available at <https://docs.anodos.finance/legal/anodos-app-privacy-policy>, explains how information is collected, used, shared, retained, and protected in connection with the Services.

## 13. Availability and Changes

The Services may be unavailable, delayed, interrupted, limited, or modified due to maintenance, provider availability, blockchain conditions, network congestion, compliance requirements, risk controls, legal requirements, or events outside our control. We may add, change, suspend, or discontinue features, supported assets, jurisdictions, providers, plans, or fees.

## 14. Disclaimers

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Anodos disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, uninterrupted operation, and error-free performance. Anodos does not guarantee that any transaction, route, card, virtual account, partner service, digital asset, stablecoin, yield, reward, or feature will be available, successful, uninterrupted, or error-free.

## 15. Limitation of Liability

To the maximum extent permitted by law, Anodos will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost assets, lost data, loss of goodwill, or business interruption. Anodos’ total liability for claims arising out of or relating to the Services will not exceed the greater of $100 or the fees you paid to Anodos for the Services in the 12 months before the event giving rise to the claim, except where applicable law requires otherwise.

## 16. Indemnity

You agree to indemnify and hold harmless Anodos, its affiliates, officers, directors, employees, contractors, partners, and service providers from claims, losses, damages, liabilities, costs, and expenses arising out of or relating to your breach of these Terms, misuse of the Services, violation of law, violation of third-party rights, or unauthorized use of your account, wallet, credentials, or device.

## 17. Suspension and Termination

We may pause, limit, or terminate your access to all or part of the Services if we reasonably believe you have violated these Terms or if your use of the Services presents legal, compliance, sanctions, fraud, security, or operational risk, or if required by a third‑party provider, card network, regulator, court, law enforcement authority, or applicable law. Where legally permitted and reasonably practical, we may provide notice and an opportunity to request review, but we may take action without notice if necessary for compliance, security, or risk management.

Certain features of the Services are provided through licensed or regulated third‑party partners (for example, card programs, virtual accounts/IBANs, fiat payment rails, identity verification, sanctions screening, on‑ramp/off‑ramp services, and similar “regulated services”). Those regulated/partner services may be unavailable, limited, paused, declined, delayed, or discontinued to comply with applicable law, sanctions requirements, fraud prevention, security measures, legal/regulatory requests, or partner program rules. We and/or our partners may require additional verification or information before enabling or re‑enabling access to these regulated/partner services.

Any action under this section applies only to access to the Services and partner rails. Anodos does not have custody of, and cannot freeze, seize, reverse, or transfer, digital assets held in your self‑custodial wallet. You retain custody and control at all times through your wallet keys, including the ability to export and use them in other compatible wallets.

## 18. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, unless a product-specific agreement provides otherwise. Card terms, issuer terms, or partner terms may contain separate governing law, venue, arbitration, and dispute provisions.
